Terms and Conditions
Like many successful organizations Smex Technologies Group (Pty) Ltd known as SMEX GROUP or simply SMEX, bases its success on trust - trust that we will uphold the highest ethical standards when providing services to our clients. To help advance and preserve this trust, Smex Technologies Group (Pty) Ltd has developed this Code of Conduct designed to serve as a guide and reference for our behaviour at all ends, i.e Smex Technologies Group (Pty) Ltd and her Independent Promoters/Partners, Promoters, Riders, Drivers etc.
However, the business climate is so dynamic and complex that it is therefore difficult to cover everything in one document. This Code of Conduct is designed to outline the behaviours that you can expect from all Members of Smex Technologies Group (Pty) Ltd but is not meant to be an exhaustive list of all legal or ethical matters. The fundamental principles of Smex Technologies Group (Pty) Ltd Code of Conduct can be easily summed up as Honesty, Trust, Fairness, Respect, Caring and a commitment to "doing the right".
Definitions
"SMEX TECHNOLOGIES (PTY) LTD or Simply SMEX"
Refers to Smex Network that forms part of our group of companies under Smex Technologies Group as a marketing and advertising wing of our organization.
"Independent Promoters"
These are our affiliates or independent company representatives and are also SMEX customers who are referring new prospective clients to the Smex business opportunities Smex Ride/Drive Mobile Applications as well as all other service offerings from the Smex Group.
“Multi-Level Marketing"
A unique method of marketing also referred to as Network Marketing or Referral Marketing where business owners introduce others into the Smex network to assist with the distribution of products and services and in doing so earn commissions.
"Recruiting"
Any activity conducted for the purpose of persuading another person to become a Referral Direct Seller.
“Prospective Member"
Potential client also referred as the consumer being persuaded to becoming our Business Associate or product consumer, a Rider/Driver of the Smex Product and Service offering.
Confidentiality
This Code of Conduct contains proprietary information therefore members agrees not to disclose any information concerning this document to others except to the extent those matters are generally known to, and are available for use by the public.
Members must ensure that they keep their log-in details with extreme sensitivity and confidential to avoid fraud and criminal activities. Smex Technologies Group (Pty) Ltd also stresses that a regular check on member's profile is vitally important to ensure all member details are always true and correct.
Smex Technologies Group (Pty) Ltd retains all titles, ownership and intellectual property right to the material and trademarks contained herein, including all supporting documents, files, marketing material, and multimedia. Every effort has been made to ensure that the information in this document is correct and accurate
Smex Technologies Group (Pty) Ltd Code of Conduct
Smex Technologies Group (Pty) Ltd reserves full rights to accept or discard any application or any purchase of our products and services from any prospective member with suspicions leading to Smex Technologies Group (Pty) Ltd feeling uncomfortable proceeding with the transaction. The decision is solely left to the company’s discretion and no one has a right to force Smex Technologies Group (Pty) Ltd to act differently in this regard.
Smex Technologies Group (Pty) Ltd agrees to honor payments to our Independent Promoters' commissions and bonuses on achievements through cycles and incentive rewards achieved by our member and his/her sales organization under the terms of the Compensation Plan. Sign-up Bonus, Downline Sign up Bonus, Residual Income and Incentives will be paid to Independent Promoters according to the Pay-plan stipulated herein at qualification.
Smex Technologies Group (Pty) Ltd reserves the right to terminate this agreement immediately upon receipt of sufficient information giving undisputable evidence that a member has violated any Term or Condition of this agreement or has otherwise acted illegally or unethically.
Members are requested to keep their login information very safe to ensure their accounts are safe and secured.
No refunds will be made unless reasonable conditions are presented to Smex Technologies Group (Pty) Ltd within five days cooling period.
Smex Technologies Group (Pty) Ltd shall not be responsible for natural disasters beyond its control such as fire, flood, earthquake, storms, power outages, labour difficulty, equipment failure, supplier problems, or other difficulties that might prevent performance according to this contract agreement.
Business Associate's Code of Conduct
The applicant should have met the minimum 16 years of age and shall be competent to enter into contract as provided in the South African contractual laws however minors may enroll under the consent of parent or legal guardian.
As a Smex Technologies Group (Pty) Ltd independent Promoter I agree to encourage new members and prospective clients to read and understand the Code of Conduct of Smex Technologies Group (Pty) Ltd before taking the initiative to join or make payments to Smex Technologies Group (Pty) Ltd company account.
As a Business Associate I am accountable for the compensation of all government and state for self-employment taxes and any other taxation under any government, federal, state or regulatory agency. Smex Technologies Group (Pty) Ltd may not be held responsible for this hence company is prepared to supply with all relevant information in this regard to our members.
I herein understand and accept that as an independent member, I am responsible for determining my own business activities without direction, influence or supervision by SMEX. I am an independent Promoter of Smex Technologies Group (Pty) Ltd hence I will not represent myself as an employee, intermediary, company agent etc.
I agree and accept that as a Smex Technologies Group (Pty) Ltd member, I shall place the primary emphasis upon the sale and positive promotion of Smex Technologies Group (Pty) Ltd services to ultimate prospective members with respect and honesty. As a Smex Technologies Group (Pty) Ltd Business Associate I agree that I will conduct myself in a courteous, fair and ethical manner.
I am responsible for overseeing and provide assistance to my recruits that I sponsored into SMEX. I agree to keep track of my downlines and be supportive doing this with all the absolute resources made available to me by Smex Technologies Group (Pty) Ltd upon joining. I agree to maintain regular communication and support to my downlines.
The Directors, Shareholders, Partners, Investors, Independent Promoters, Employees, Service Providers shall be restricted from any unauthorized usage of Smex Technologies Group (Pty) Ltd Trademark, brand, logos, name tags, banners, premises, company assets, bill boards in whichever way intended to benefit on selfish gains, this will consequently lead to that individual being persecuted and be eventually terminated from their services from SMEX.
Members understand and agree that unauthorized use or duplication of trademarks or copyrighted materials is a violation of these terms and conditions and may face persecution.
General Code of Conduct
Members are not authorized to collect membership fees from prospective members on behalf of , prospective members are always encouraged to deposit such funds to the respective Smex Technologies Group (Pty) Ltd bank account as it appears on the company website. Smex Technologies Group (Pty) Ltd will not be held responsible for prospective members that gave their registration fees to anybody.
In order to maintain viable Company prospects and to comply with changes in government, federal, state or local legislation in economic or any trading conditions, Smex Technologies Group (Pty) Ltd reserves the right to amend, revise, institute, alter or modify changes including but not limited to prices, literature, policies, all Terms and Conditions, Policies and Procedures and the Compensation Plan. All revisions become effective and binding upon publication on the official company website or other official Smex Technologies Group (Pty) Ltd publication and our Business Associate agree to adhere to and be bound by these changes.
Members must understand the rules prevailing in joining company that has legal product tangible or none and a multi-level marketing or compensation program it is considered an extremely serious offence misrepresenting or conducting falsehood statements about the company.
All the packages include the registration fee, the processing fee and the administrative costs, once online registration is completed refunds are not possible member is advised to study everything and seek professional advice, if necessary, before completing the online registration. The online registration implies that member has understood the compensation plan and everything else clearly.
Payment terms of prospective member or membership purchases through EFTs, cheques, money order or credit card with order and direct deposit are acceptable. Product credit purchases are strictly not allowed.
Smex Technologies Group (Pty) Ltd has once off annual membership. Subscriptions shall be paid monthly by members who will sign up for monthly products such as the panic button.
Members will not make any reproachful, false or misleading statements about any Business Associate position or Company services, including but not limited to claims that the company services guarantee discounts. Display of commission cheques, the making of income projections and use of member income testimonials to prospective members should be conducted with caution. Independent Promoters shall not compel, induce or mislead any person with any falsehood statements/promise to join the company or to purchase any product.
Members agree and understand that they cannot hold Smex Technologies Group (Pty) Ltd responsible for any information communicated to them incorrectly by other members or willing representative. The information on the website is correct and terms are subject to change without written notification to all members. The incentive structure is an additional reward and can be changed without notification based on inflation, depreciation and implementation will be measured realistically.
Members understand and agree that once a member is captured it is permanent and it is irrevocable. The implications of affirming an incorrect sponsor is irreversible therefore the Smex Technologies Group (Pty) Ltd stresses that its members must be extra cautious and observant and attentive when capturing members personally or when submitting forms to the our offices for capturing assistance. If the company is negligent in anyway, then they retain the right to correct the errors in a fitting and appropriate manner and member should be able to compromise a possible solution in such circumstances.
Prospective members can join Smex Technologies Group (Pty) Ltd without a sponsor. In case of E-pin registration every E-pin dispatched can only be used once and may not be re-dispatched again. Smex Technologies Group (Pty) Ltd has dedicated a department that deals specifically with the activations including all errors incurred by members through email, telephonically etc. The Company however, advises members to refrain from capturing new applications onto the system when they are under pressure, ill, dehydrated, experiencing fatigue or intoxicated in any manner.
The company will approve the membership by issuing an official registration email or an online registration, which will carry the password and an identification number known as Username or User Id as chosen by the applicant during the registration process and of course also generated by the system. This password and User ID have to be mentioned by the Independent Promoters in all his/her transactions and correspondence with the company. The Username once chosen cannot be changed at any point.
The company reserve its right to modify the terms and conditions, products and services, schemes, business and policies and procedures, giving prior notice through the company website and it will be binding on all members of the company. All members are requested to utilize the suggestion box in our website to enhance and develop product delivery efficiencies.
The compensation plan is not Smex Technologies Group (Pty) Ltd product or services hence when a member joins, they are eligible to receiving their product and services as per their order. The Business Associate shall always behave and act in a dignified manner befitting the status of an Independent Promoter of a reputed and leading network marketing company of the Southern region.
The distributor shall bear true faith and allegiance to the company and shall uphold the integrity and decorum of the company and shall maintain good relations with other distributors and other clients.
Dispute Resolution
Smex Technologies Group (Pty) Ltd believes that it is the best interests of all disputes are resolved through face-to-face meetings as opposed to pursuing legal interventions and accumulate unnecessary costs that can be avoided. Should disputes not be resolved through meetings as proposed above then either or both parties have the right to request mediation and if necessary binding arbitration.
Cancellation Policy
Upon cancellation of this Contract for any reason, or upon Contract expiration, each party shall be released from all obligations to the other party arising after the date of cancellation or expiration, except for those that by their terms survive such cancellation or expiration. A cancellation fee may be changed if any form of costs have been incurred by Smex Technologies Group Pty Ltd.
Governing Laws and Jurisdiction
This Agreement shall be governed by and construed in accordance with the substantive laws of the Republic of South Africa without giving effect to its principle or rules of conflicts of laws. Any dispute arising under or in relation to this Agreement shall be resolved in the competent court in South or in the accordance with local laws in the country or countries we shall operate in. However, each of the parties hereby submits irrevocably to the exclusive jurisdiction of such court.
Filing a Complaint
If there is a complaint lodged against my name to the SMEX GROUP attention, that is deemed valid by our legal department, all due commissions shall be withheld until such time that a final verdict has been met to clear your name from the issue going on. The findings or ruling will determine your future within the company.

Everyone involved with SMEX TECHNOLOGIES GROUP in any way must adhere to the Rules & Regulations formed by the SMEX Group and if any of the of our Associates is found guilty of not observing the Terms and Conditions, Code of Ethics, Policies and Procedures etc. then he/she will be terminated from the company.
I (member) have read the Code of Conduct and Terms and Conditions therefore I herein agree to abide by these terms. The company reserves all rights to terminate an independent promoter of the Smex Network at any time should the company be justified to do so.
